M.A.P. Policy

1. Purpose

This Minimum Advertised Price (“MAP”) Policy is designed to protect the brand reputation of Coral Enterprises, LLC dba Coastal Virginia Candle Co. (“Company”) and to ensure fair competition among all wholesale partners. This policy applies to all wholesale customers, resellers, and distributors (“Wholesale Customers”) who purchase Company products for resale.

2. Scope

This policy applies to all advertised prices for Company products in any public medium, including but not limited to:
- Print advertising (flyers, newspapers, magazines).
- Online listings (websites, e-commerce platforms, auction sites).
- Social media posts.
- Email marketing.
- In-store signage visible to the general public.

3. MAP Pricing

- The Minimum Advertised Price for each product is set by the Company and provided in the Wholesale Price List & MAP Schedule (distributed separately to approved Wholesale Customers).
- Wholesale Customers may sell products at any price in-store or directly to consumers, but advertising a price lower than MAP is prohibited.
- Temporary promotional discounts below MAP require written approval from the Company before being advertised.

4. Prohibited Practices

The following are violations of this policy:
- Publicly displaying a price lower than MAP.
- Using terms such as “Click for price,” “Add to cart to see price,” or similar if it results in a displayed price below MAP without prior written approval.
- Bundling Company products with other items in a way that results in an implied price below MAP.
- Offering coupons, rebates, or discounts that effectively lower the advertised price below MAP in public-facing promotions.

5. Exceptions

The MAP Policy does not apply to:
- Private, individual negotiations with customers not publicly advertised.
- In-store pricing that is not displayed in public advertising materials.
- Clearance or discontinued products, when approved in writing by the Company.

6. Compliance and Enforcement

The Company will monitor advertised pricing through manual review and third-party monitoring services.
Violations may result in the following actions, at the Company’s sole discretion:
1. First Violation – Written warning and request for immediate correction.
2. Second Violation – Temporary suspension of wholesale account.
3. Third Violation – Termination of wholesale account and cancellation of pending orders.

7. Policy Modification

The Company reserves the right to modify or discontinue this MAP Policy at any time. Any changes will be communicated in writing to all Wholesale Customers.

8. Acknowledgement

All Wholesale Customers must acknowledge receipt and acceptance of this MAP Policy by signing below. Continued purchase of Company products constitutes agreement to comply with the MAP Policy.
